Overview
Key functions of the BOD
  • Deliberating on and making resolutions on agendas as requested by relevant laws and financial institutions
    • Introduced cumulative voting to reinforce the rights of minority shareholders in appointing directors (March 2004)
    • Introduced the postal voting system to increase shareholders’ convenience in exercising their voting rights (March 2004)
  • Participating in establishing core management strategies and monitoring management performance
    • Discussions to establish management strategies and annual business plans
    • Deliberating on important internal and external investment plans and restructuring plans
    • Monitoring quarterly management performance
  • Matters concerning the appointment, evaluation, fostering and compensation of the management
    • Recommending inside director candidates
    • Selecting CEO from among inside directors and assigning positions to inside directors
    • Management evaluation and compensation plan, and deciding compensation and retirement benefits for inside directors and unregistered officers
